| Overview |
Global advanced technology
manufacturing company, has an immediate, full-time opportunity for an Assistant
General Counsel.
This individual will be a
key member of the management team and will work collaboratively with, and
serve as an associate legal advisor to, the CEO as well as other members
of senior management on all legal matters for the Company.
He/she will be expected to
provide guidance and direction reflecting good business judgment, strategic
vision and substantive legal knowledge and expertise. This individual
will also be involved in all legal, regulatory and compliance matters for
the company. Most important, this individual will succeed the current General
Counsel when he retires in two to three years. |
| Responsibilities: |
-
Draft, review and negotiate
a broad range of commercial contracts, including, but not limited to, leases,
supplier and customer contracts, non-disclosure, intellectual property,
master purchase agreements, employment agreements and purchase order terms
and conditions.

Participate in strategic, succession
and annual operating planning as a member of the Company’s senior management
team.

Assist with the supervision
and management of outside counsel on matters relating to but not limited
to employment matters, mergers and acquisitions, IPO's, investor relations,
insurance claims, litigation and non-litigation proceedings.

Work with staff who support
employment related legal activities, such as employee handbooks and policies,
employment agreements, visa and immigration issues and employment claims
and litigation.

Prepare corporate documents
and assist with or oversee preparation for board meetings and presentations.

All NYSE and SEC compliance
and reporting activities. (10K's, 10Q's, securities law)

Partner with members of the
senior management team to ensure ventures and business agreements support
the CEO’s business strategy and desired outcomes.

Respond to other miscellaneous
requests and special projects.

Education and
Experience |
-
J.D. with exceptional academics
licensed to practice in New York State.
-
Minimum of five to seven years
experience with a major law firm and/or publicly held international corporation
with emphasis on advising the senior management on a wide variety of legal
matters.

Ability to conduct legal research.
-
Ability to manage outside legal
counsel.
-
Experience working with a board
of directors.
-
Experience in manufacturing
environment or law firm dealing with manufacturing clients and acquisitions
is desired.

Must be available for domestic
and international travel 4 to 6 weeks annually.

Proven demonstration of negotiation
and conflict resolution skills.

Proven track record of managing,
directing and developing staff.

Demonstrated ability to partner
with the CEO on all strategic initiatives for the business.

skills and writing skills.

Ability to manage multiple projects
and work in a fast-paced environment.

Strong work ethic, sense of
urgency and ability to work effectively with deadlines and multiple priorities.
